Terms of Service

1. Acceptance of Terms

By accessing and using QuantFenix ("Service"), you ("User", "Customer") accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and QuantFenix.

2. Service Description

QuantFenix provides quantum computing cost optimization services, including but not limited to:

• Continuous canary comparisons across quantum computing backends
• Auto-routing of optimization jobs based on quality, cost, and latency
• Budget-capped exploration and cost optimization
• Audit-ready manifests and traceability reports
• Integration with AWS Braket, IBM Quantum, Rigetti, and other quantum computing providers

3. KPI Program

During pilot programs, KPI targets may be defined in writing for selected workloads. If the agreed pilot targets are not met, pilot fees will be waived. KPI targets, when used, apply only to the agreed pilot scope and not to other workloads or ongoing service.

4. Bring Your Own Compute (BYOC)

Customers maintain full control of their quantum computing credentials and accounts. QuantFenix orchestrates optimization decisions but does not store or have persistent access to Customer credentials. Customers are responsible for maintaining their own quantum computing provider accounts and ensuring compliance with their provider's terms of service.

5. Data Processing and Security

QuantFenix processes Customer data in accordance with our Privacy Policy and implements appropriate security measures including:

• Data minimization and PII gating
• KMS encryption with key rotation
• Export and OFAC compliance controls
• Complete audit trails for every run

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or attempt to compromise system security
• Use the Service for illegal or unauthorized purposes
• Interfere with or disrupt the Service or servers

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of QuantFenix and its licensors. The Service is protected by copyright, trademark, and other laws. Customer retains ownership of their data and optimization problems submitted to the Service.

8. Limitation of Liability

In no event shall QuantFenix, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

10. Governing Law

These Terms shall be interpreted and governed by the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
